Licensee will not allow the Software Programs to be transferred, exported, or re-exported in violation of any export control laws or regulations administered by the U.S. Commerce Department, OFAC, or any other government agency. All the limitations and restrictions on Software Programs in this Agreement also apply to documentation. 2. Warranty/Disclaimer The Software Program and any use of its diagnostic / repair routines are provided "as is" without warranty of any kind. GRADELOG disclaims all warranties, either express or implied, including the warranties of merchantability and fitness for a particular purpose. In no event shall GRADELOG or its suppliers be liable for any damages whatsoever including direct, indirect, incidental, consequential, loss of data or business profits, VIRUSES, or special damages, even if GRADELOG or its suppliers have been advised of the possibility of such damages. 3. Miscellaneous The failure of GRADELOG to exercise in any respect any right provided for herein will not be deemed a waiver of any further rights hereunder. If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable. The parties agree that a materiel breach of this Agreement adversely affecting GRADELOG's proprietary rights in the Software Programs would cause irreparable injury to GRADELOG for which monetary damages would not be an adequate remedy and that GRADELOG shall be entitled to equitable relief in addition to any remedies it may have hereunder or at law. This Agreement will be governed by and construed in accordance with the laws of the state of Washington without regard to the conflict of laws provisions thereof.
